1. Acceptance of Terms
These Terms of Service (“Terms”) govern your access to and use of the Sonor platform, including sonor.io, app.sonor.io, signal.sonor.io, api.sonor.io, sonor.dev, and all related services, tools, and APIs (collectively, the “Service”) operated by Sonor, Inc. (“Sonor,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 16 years old and capable of forming a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
- You are responsible for maintaining the confidentiality of your account credentials and API keys.
- You are responsible for all activity that occurs under your account.
- You must provide accurate and complete information when creating your account and keep it up to date.
- You must notify us immediately at security@sonor.io if you suspect unauthorized access to your account.
4. Subscription Plans and Billing
4.1 Plans
The Service is offered under subscription plans (Standard, Limited AI, Full Signal AI, and Agency) with varying features and pricing. Plan details are available at sonor.io/pricing.
4.2 Billing
- Subscriptions are billed monthly in advance via Stripe.
- Project activation (API key generation) initiates per-project billing. Draft projects without API keys are not billed.
- Prices are listed in US dollars and are exclusive of taxes unless stated otherwise.
- We may change pricing with 30 days’ notice. Price changes take effect at the start of the next billing period.
4.3 Promotional Offers
We may offer promotional pricing, bundled services, or complimentary deliverables (such as a custom web application) in connection with certain subscription commitments. The terms of any promotional offer will be specified at the time of purchase.
4.4 Cancellation
- You may cancel your subscription at any time from the Billing section of your dashboard.
- Cancellation takes effect at the end of the current billing period. You retain access until then.
- After cancellation, your data is preserved in a read-only state for 90 days. After 90 days, data is deleted.
- Refunds are not provided for partial billing periods.
5. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
- Transmit malware, viruses, or other harmful code through the Service.
- Attempt to gain unauthorized access to the Service, other accounts, or related systems.
- Use the Service to send unsolicited communications (spam).
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Scrape, crawl, or use automated means to access the Service except through our published APIs.
- Resell or redistribute the Service without our prior written consent (agency plans have specific redistribution rights as described in your agreement).
- Use AI features to generate content that is deceptive, harmful, or violates the rights of others.
6. Your Data
6.1 Ownership
You retain all rights to the data you upload, create, or manage through the Service (“Your Data”). Sonor does not claim ownership of Your Data.
6.2 License to Sonor
You grant Sonor a limited, non-exclusive license to use, process, and display Your Data solely to provide and improve the Service. This includes processing Your Data through AI features when you have an AI-enabled plan.
6.3 AI-Generated Content
Content generated by Sonor’s AI features (Echo, Signal, Copilot) based on Your Data is owned by you. However, AI outputs may not be unique and similar outputs may be generated for other users. You are responsible for reviewing and validating AI-generated content before use.
6.4 Data Portability
You may export Your Data at any time through the dashboard or by contacting support. Upon account cancellation, we will provide a reasonable opportunity to export Your Data during the 90-day retention period.
7. API Keys and Site-Kit
- API keys authenticate your websites and applications with the Sonor platform. You are responsible for keeping them secure.
- Do not embed API keys in publicly accessible client-side code (site-kit handles this securely via server-side injection).
- We may revoke API keys that are compromised, abused, or associated with a canceled subscription.
- Rate limits apply to all API endpoints. Exceeding rate limits may result in temporary throttling.
8. Agency Accounts
If you operate an agency account, the following additional terms apply:
- You may create and manage client organizations under your agency. You are responsible for your clients’ compliance with these Terms.
- You may set your own pricing for services you provide to your clients using the Sonor platform.
- You must inform your clients that their data is processed through the Sonor platform and direct them to this Terms of Service and our Privacy Policy.
- Agency billing is separate from client-facing invoicing. Your Sonor subscription covers platform access; client invoicing is managed independently through the billing module.
9. Intellectual Property
The Service, including its design, code, features, branding, documentation, and AI models, is owned by Sonor and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets except as needed to use the Service.
10. Third-Party Services
The Service integrates with third-party platforms (Google, Facebook, Stripe, Netlify, etc.). Your use of those services is governed by their respective terms and privacy policies. Sonor is not responsible for the availability, accuracy, or practices of third-party services.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AI-generated content is provided for informational purposes. Sonor does not guarantee the accuracy, completeness, or suitability of AI outputs. You are solely responsible for decisions made based on AI-generated content.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SONOR’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO SONOR IN THE 12 MONTHS PRECEDING THE CLAIM.
SONOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
13. Indemnification
You agree to indemnify and hold harmless Sonor, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including reasonable attorney’s fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
14. Termination
- You may terminate your account at any time by canceling your subscription and requesting account deletion.
- We may suspend or terminate your account if you violate these Terms, fail to pay, or engage in activity that harms the Service or other users.
- Upon termination, your right to use the Service ceases immediately. Sections 6, 9, 11, 12, 13, and 16 survive termination.
15. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Continued use after the effective date constitutes acceptance of the revised Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.
17. General
- These Terms constitute the entire agreement between you and Sonor regarding the Service.
- If any provision is found unenforceable, the remaining provisions continue in full force.
- Our failure to enforce any right or provision does not constitute a waiver.
- You may not assign your rights under these Terms without our written consent. We may assign our rights freely.
